From FIFA's Laws of the Game 2012:
A direct free kick is awarded to the opposing team if a player commits any of the following seven offences in a manner considered by the referee to be careless, reckless or using excessive force:
• kicks or attempts to kick an opponent
• trips or attempts to trip an opponent
Whelan kicked Modric and the referee deemed it to be careless (along with pretty much every Stoke fan, yourself included). There is NOTHING in the rules about how much somebody is impeded, how much contact is made, whether they could have stayed on their feet or any other such matters.
Think what you want about Modric's conduct but don't say it wasn't a penalty. It was a stonewall, black and white, indisputable foul.
