It would have to be paid back beforehand. People won't believe me but I genuinely think this is a sign that FPP want the club. Basically, they can't say "we want to be paid back when the takeover goes through". The loan will have set repayment dates in and, by and large, they'd be stuck to. What FPP can do, due to having security over the stadium etc, is refuse to allow a sale . If they do that, then the loan needs to be paid up first (including any early repayment charges) to remove them from the equation. So, why would they refuse a sale? Two possible options. Firstly, they're owed money and they think the new person coming in would be a risk and maybe they wouldn't get their money back. Given that the new person is a billionaire and the existing person is Stewart Donald I think we can safely say that's not the reason. The other reason would be if they don't want a sale to go through because there's a loan, well skewed in their favour, to a bloke who will be swiftly running out of money and who, when it completely dries up, will need to hand the keys to them for a price nearer to their initial valuation of not very much. At that point, they might well say "**** you, if you want to sell to him then to you can find or get him to pay £11m up front to pay back the loan". I'm pretty confident this is what's happened. But to completely hypothesise for a minute, maybe they've said this, Donald has asked KLD to assist (maybe forwarding money early to pay it off, since Donald won't have that kind of money lying about) and maybe KLD has said "fair enough, I'd have to pay it back eventually if I bought into Madrox, but if you need me to stump it up early, especially given an early repayment fee, you can give me a higher % of the shares **** face". I'd love to think that's how it's going!
That being the case, It would seem that FPP have incorporated within the loan arrangement document that they have first refusal. On the other hand., I cant see FPP initiating the new ToD ,Manager or the other appointments....Strange one this.
I doubt FPP will be involved at all at present. I think they've just got the capability to refuse a sale. As far as I know, FPP aren't keen on Donald and don't think his valuation of the club is anywhere near accurate. This will likely be why they aren't trying to buy the club at present. If Donald wants to keep shares they won't be interested, if Donald wants a high price they won't be interested. I believe that what they loaned him is pretty much what they think the whole club is worth. If Donald can't pay it back then they get the club for that price, without Donald, which is basically their end game. If Donald can get what he wants in terms of staying on by selling to KLD then they'll let it go because it doesn't represent value for them at that price / deal, but they aren't going to help facilitate it, hence the money needing to be paid back. I'm hoping they've played an absolute blinder here tbh. Most think they've got no interest any more but I'm very confident that isn't the case. Donald will be in a tricky position at the minute.
