I imagine that SD is the last person they’d want to have more shares. Suspect it’s bollocks and if Sartori pulled out KLD would pick up the shares.
I think SD would have first refusal but it's Sartori who's brought KLD in so if Sartori wanted to sell now and Donald was going to buy then I can't see KLD going ahead. But, that won't happen as if Sartori did indeed want out I think this deal would be done as is and once in place he could then sell to existing shareholders and KLD could then buy from Sartori as the original 'first refusal' to SD would be defunct.
