Re Davis and the ridiculous sell on fee.... I dont see the issue... you buy him to do a job which if he does will increase his value (if its to get you to the premiership and its riches even more so) You have then have two options, dont sell him and not have to pay a sell on fee because he's doing a good job or sell him, take the profit and say thank you very much.

Exactly, you buy for £1 million, with 25% sell on clause, sell for £5 million, £1 million to Villa, the rest is yours.

Sounds like we've agreed the deal with villa but have personal terms to iron out, whereas they may well have offered favourable personal terms using the Piroe money but not fully agreed the deal with Villa.

I'd always expect though with multiple clubs chasing a player and it's just about terms, then there would always be a final conversation before signing anywhere to see if they could eek out a bit more cash.
