I've just had a message from an original contact who's come good again.

He's confirmed much of what I've previously posted although it was a 'for your eyes only' message so I can't really post anything new from it.

It concerns the original terms of the FPP takeover and what has happened to change the situation.

All I can say is that, as things stand, I feel quite pleased with myself.

The situation is fairly clear. Donald overpaid for the club and no one is going to pay enough for him to breakeven whilst SAFC is in League One.

The FPP deal gives Donald a chance to get SAFC promoted at which point, FPP will pay enough for him to get out without a big loss.

But FPP can’t force the timeframe. Donald doesn’t have to sell unless he wants to. But he has zero interest in putting any more money into the club. That is why he took the loan from FPP. SAFC runs at a loss so if it was not for the loan, he would have to finance that himself. He could do it, he just doesn’t want to. So his comments about how he could pay it back or put it in himself are a half-truth. He doesn’t want to take any more risk. He is already down £10m by my estimate. He doesn’t want that to be £20m.

If SAFC don’t go up this season, then unfortunately there might be enough wiggle room for SD to have one more go at it next season. But then he is definitely out of time and FPP takeover.

Either way, FPP end up owning the club. Next season in the Championship or later on still in League One. The only uncertainty is price - which is dependent on which division the club is in at the time.

In the meantime, SD will of course be desperately looking for someone to buy the club off him for more than £35m. But £10m of that goes to FPP and £25m goes back to SAFC to repay the parachute payments. So the big question is what does SD do if he gets an offer of £35m from someone less good than FPP? My guess is he will take it and get out. Luckily, I doubt anyone would be mad enough to pay that.

He didn’t overpay, he got it for a fair price, and of course he needs, like any business, to make it successful to get a decent return. What he’s done is devalue the club through his inept actions. The only thing we can hope is he gets bored and ****s off before he causes the collapse totally.

At the risk of getting labelled as getting too excited by kitten, give us a bit more to go on smug. What’s changed and is the post by Bob Cheval just about spot on

Just when I thought it was safe to go back onto the message boards. I know I’m fairly fit, but this doesn’t do my heart any good!
 
Obviously we all know my position of waiting and seeing, but staying on track, i think it will ramp up over the next few weeks whichever direction it heads in. The window has SLAMMED shut and Donald will be giving the sale his full attention.

re: @Bob Cheval We may be loss making in future, but we also have some parachute payments left that would (by SD and CM's assertions before the season) add up to a £5m profit this season. I think the problem was that it would be offset by a potential £5m loss next season. If Donald is not planning on being in charge, I wouldn't be surprised if he's dipped into that pot to fund our January transfers, rather than eat into the FPP money.

Cracking post mate, and good to get a concise summary of the situation The only thing I'd pick up is the £25m going back to the club. I'm fairly sure when Donald was interviewed on the radio he basically said that if he found the right buyer he wouldn't feel obliged to pay the parachute payment back. I can imagine that being a potential sticking point because no buyer will want us if the club is £25m worse off than it should be!

As an aside I see we have another poster trying to claim that nowt is going to happen because Donald said so. Donald also said that it was never a takeover. I was at the RAWA meeting and they stated that it certainly was. Someone high up in the club had happily been telling everyone about how it was going to go through. Hell, Donald even said at a talk in that he didn't know if they'd want him and Methven, which hardly ties in with them always just investing in the management team.

At the meeting it was also strongly hinted that FPP were still at the table and still interested and that the only issue was the price with Donald seemingly wanting a significant profit from the £15m he paid for the shares. They weren't able to say loads, but what they said and what they hinted at was almost exactly in line with everything Smug has been saying. Put it this way, the people involved with RAWA are big fans of the club, they knew the importance of an upcoming transfer window. The statement coming out when it did was obviously for a specific reason. There would be no point putting pressure on Donald to sell at that specific time if there was no one he could sell to
 
I think Donald coming out and publicly saying on the BBC that he 'doesn't think they're interested in owning the club right now because if they wanted to, they would already do so' probably overrides talk-ins from months ago. From the interview he gave around the time of the FPP deal and the more recent January interview, it sounds a lot like Donald was the one floating the idea of them buying a majority stake now, and they rejected that idea before it ever got to the point that they would make a bid. Instead they went ahead with the loan that keeps that option on the table in future.

Which would also tie in with him (at the time) using words like 'takeover' and not knowing if he'd stay around if they did want a majority stake at the time he did the talk-in, and then shifting that towards 'investment' as the process wore on and it became clear that whatever happened wouldn't be a takeover in the near future.
 
As you know, I'm no Donald apologist, but I don't think he's an outright liar. I think he's very often tried to dance around how he purchased the club, which manifests itself in a 1,000 word answer to a yes or no question. The irony of him not being a liar is apparent in the fact that a lot of criticism is built around his own words in podcasts etc.

Said it before, but for him to directly answer that question about FPP making a bid with 'no' in such categorical fashion would be absolutely beyond extraordinary if it wasn't true, and to say they likely weren't interested in owning the club if they are would basically have no benefit. It would potentially be opening him up to all kinds of legal issues if they did and were unhappy that he was painting them in that light.

I don't think anything has massively changed. I think FPP have always been interested but aren't in any rush and will wait until a fair price is reached.

They provided a loan for two purposes imo; firstly to make sure they're in pole position so Donald can't just sell to anyone else, this will let them see what the market value is without risk of anyone else getting in first. Secondly we all know they don't want to run the club day to day, so the loan lets them see how well the current management team do with it. Show they can spend the money wisely and they might be prepared to keep them on in a salaried position with a small shareholding. Do ****e and they'd replace them. It's easier to keep them there, hence giving them the chance especially when it they fail it doesn't adversely affect FPP, they're protected by the fact it's a loan and not an investment. From everything I've heard I'm sure they'll come in, but only when the timing suits them in terms of cost and once they've evaluated whether they need a new management team.

You are not alone mate. Most of us have struggled to get our heads around all the apparent truths,half truths and untruths of all this,and the contradictions which have gone along with it. I don't suppose we'll ever get to bottom of it until it all plays out,if then.
For my part,I've had confidence in what Smug has been posting about it,both on here and the on other place, from the beginning,so I'm going to continue to look for any updates from him. I also think the analyses of Cheval and GG are reasoned and well thought out, and are probably not too far from the reality.
