The transferance of the club is done with the sale of the assets in particular the goodwill. Luton Town FC went down the NewCo route, did not settle their debts, liquidated and still kept their history.

Luton Town were docked 30 points. Their holding company was liquidated before settling their debt. They are a NewCo The difference is that the club and the company are different entities. Although the company is new, the club carries the history so can be docked points. Not too difficult is it.
