Starsport understands the former Tottenham coach wants £6m over the course of a three-year-deal
But Rangers owner Tony Fernandes is 'only' prepared to pay him £1m a year plus bonuses.
Sherwood is also thought to be concerned at the size of the budget he will have to boost the squad in the summer if they do stay up.

Kevin Bond and Chris Ramsey will take charge of the team for the visit of Southampton tomorrow, with Rangers seeking a first win in eight games.
Meanwhile, Glenn Hoddle said he quit QPR out of loyalty to Redknapp.
The ex-England boss lasted six months in his part-time coaching role after following Redknapp out of the door this week.
Hoddle said: "As Harry had taken me to Queens Park Rangers, I thought the right thing to do was to leave.
"It was an act of loyalty to Harry."
