The Suarez saga will come down to wether the Uruguayan decides to kick up a fuss about leaving or not.
If he hands in a transfer request and becomes a disruptive influence Liverpool will be forced to sell him. I guess it depends on hiow much he really wants to leave.
I cant see Arsene paying £50 Million so any deal that does occur will most likley be in the final days of the window.
The current information suggests the clause is only for notification anyway, so even once you qualify you still need to meet LFC's valuation.

I think if Real will bid for Suarez tonight, he will hand in a transfer request tomorrow morning. I guess Suarez wants to leave, but Arsenal is not his preferred destination.

Sorry about the sarcasm, but there is loads more in it than that. I realize that the general British attitude that any foreigner is by default an idiot, but it is just laughable.
How can you possibly think that a professional agent would just "mistake" a clause like that? It is too stupid for words.
The word coming out is that, yes all Liverpool have to do is allow them to talk, as long as the club is NOT a CL club. The real item in dispute is whether Arsenal are a CL club, not some kind of kindergarten mistake about Suarez and his people thinking that talking to Arsenal was the same as Liverpool releasing him, which always seemed a bit ridiculous.
A Liverpool source said: "We've all examined the clause in detail. All it obliges is good faith negotiations about Luis's future. There is absolutely no obligation to sell and that is very clear."

I wouldn't put any level of stupidity beyond an agent. These are parasites who demand millions of pounds for attending meetings between players and clubs who both already want to do business with each other. I would honestly be surprised if they even read the contract themselves.

Now, you assume that there is an exclusion regarding Liverpool's responsibilities for CL clubs. So I challenge you to show me chapter and verse on that matter. If you can't then go back to sleep and keep on dreaming.
As for the vigilance of football agents. Some are indeed very good and others are less so. I don't know about Suarez's agent or his ability to correctly interpret the wording of contracts so I will not make comment upon his competence. I will however note that he has had at least 2 problems in correctly interpreting the meaning of contracts that were not drawn-up in South America.
It really is difficult having a discussion with you guys. I find it very odd that you can assume an incredibly stupid mistake on the part of a large number of professionals, because of some stereotypical bullshit.
I don't sign a contract without reading it, I just cant imagine that any player or his agent is going to sign a multi-million pound contract, in this day and age, without a hoard of lawyers reading it over and understanding the implications.
To me it sounds so much more plausible that the dispute is over something that could be misinterpreted (i.e. If Arsenal are a CL club before they qualify for the group stages) than stupid little Johnny Foreigner not understanding English properly and misunderstanding that discussing in good faith did not mean releasing automatically.

STOP MAKING THINGS UP AND DEAL WITH FACTS
If you can't prove that Suarez's contract clause has a specific exemption for CL clubs THEN SHUT THE **** UP
Now I know of 4 major Courts of Arbitration that are commonly used to settle commercial contract disputes. I have attended and given evidence in 3 of them for employers/clients - all of whom have been major international organisations. It's not the nationality of the signatories, it's not even the language(s) in which the contract is established but the complexity of the document and the law upon which it is based. All of the parties were well served with legal opinion but these courts are always full.
It appears that Suarez and his agent now accept that Liverpool's interpretation of the contract is in fact valid. If that is the case then Ian Ayre's statement that Suarez is not for sale is the end of the matter - except that we all know that things might change. One thing is clear. liverpool have rejected Arsenal's offer of £40,000,001 so unless you are prepared to pay significantly more you are not going to get the player.

Anyone else feel that the Bale situation is crucial to all this? I think Suarez and his agent are waiting to see what happens with Madrid before deciding further action. If Bale heads to Madrid we may see more movement on this side. For now though, everything is pure speculation.
