McPhail's departure and McNaughton's talks come as the Bluebirds prepare for their Premier League debut having dominated the 2012-13 Championship title race.
McNaughton, who joined from Aberdeen in July, 2006, is, like McPhail, out of contract.
However, having made only two appearances as a substitute in the FA Cup in 2012-13, McPhail will not add to 203 games he has played for Cardiff since joining from Barnsley in July, 2006.
Scot McNaughton has made 263 Bluebirds appearances since his arrival.
