Once they have been exchanged there is a deal. Also usually quite late in the day. Contracts can be conditional in which case the agreement is conditional on the condition being met. In this case I would guess contracts have been exchanged subject to the condition that the Buyers pass the fit and proper test of the PL with both parties undertaking to use their best endeavours to see that the condition is met.
