I don't see the goals drying up for Ba when he has a midfield set of Hazard/Mata/Oscar/Moses behind him. (Assuming Benitez starts him, that is)
I believe the CL clause states you must have been a participant in the same season you sign him. Chelsea would qualify, we obviously wouldn't.
Ba would fail a normal medical, so there is a risk in getting him. Not quite a dodgy knee risk, but maybe an insurance issue with hidden cover costs that could bump up the true package. The extra LFC paid is probably worth it for the age, and sell on potential.
