For the record without the use of the word arbitration in said sentence that can also mean it’s a compensation event. I personally don’t know whether it is or it isn’t. In order for that second sentence to be past tense it would need a past tense verb in it. It didn't therefore you look to the previous verb. That verb is present tense therefore the following sentence/s are all present tense until a different verb is used.
It's called passive voice boys. You use the past participle in passive voice. Third form of the verb. It can also be used as an adjective. The same word can be a verb, an adjective or a noun. Depends on the usage. I teach English by the way.

You can tell that the takeover is ongoing. They used the year 2021 in the context of proposed, which alongside working, places the verb in the present and to be pedantic, potentially the future. If it was off, it would have been 2020 past tense. Just to stir as I am in a wind up, pissy mood.
